ZobeLab Marketing Affiliate Program Expectations Agreement
(Online Acceptance Binding Terms and Conditions)
Effective Date: Upon digital enrollment and acceptance into the ZobeLab Marketing Affiliate Program.
This ZobeLab Marketing Affiliate Program Agreement (“Agreement”) is entered into by and between ZobeLab, Inc., a Delaware Corporation with offices located in Maryland, USA (“ZobeLab,” “Company,” “we,” or “our”), and any individual or organization that applies for and joins the ZobeLab Marketing Affiliate Program (“Affiliate,” “Partner,” or “you”).
By registering for, joining, or participating in the ZobeLab Marketing Affiliate Program (“Program”) through the ZobeLab website or mobile application, you acknowledge that you have read, understood, and agree to be legally bound by the following terms and conditions.
1. Purpose
The ZobeLab Marketing Affiliate Program is designed to allow approved affiliates to promote ZobeLab’s AI-driven EdTech platform, products, and services to independent artists, producers, DJs, music professionals, educators, and related audiences.
As an Affiliate, you earn commissions for eligible referrals that result in verified paid subscriptions, purchases, or partner signups through your unique affiliate link.
2. Scope of Responsibilities
As a participating Affiliate, you agree to:
• Actively promote ZobeLab’s platform, services, and opportunities through approved marketing channels (e.g., social media, website, newsletters, video content, influencer collaborations, or events).
• Represent ZobeLab’s brand professionally, positively, and in accordance with its Brand Guidelines and marketing materials provided.
• Use only approved creatives, logos, and promotional content when advertising the ZobeLab brand.
• Clearly disclose your affiliate relationship with ZobeLab in accordance with FTC Endorsement Guidelines.
• Abstain from misleading, spam-like, or unethical marketing tactics.
• Avoid posting affiliate links on coupon sites, spam websites, or paid ad placements that impersonate ZobeLab.
• Dedicate reasonable time and effort — at least a few hours per week minimum — toward marketing and outreach activities, with the flexibility to increase participation as desired to maximize opportunity and return.
• Maintain accurate contact information and ensure prompt response to ZobeLab communications.
3. Affiliate Compensation
• Affiliates will earn a commission percentage for each verified sale or subscription completed through their unique affiliate tracking link.
• Commission amounts, payout timelines, and eligibility details will be displayed within the affiliate dashboard or otherwise communicated by ZobeLab.
• Payouts are typically issued 30 days after the transaction date to allow for processing, refund windows, and quality verification.
• Second-tier referral commissions may apply where applicable, as specified by ZobeLab.
• All payments are subject to applicable taxes and reporting requirements. Affiliates are responsible for any personal or business tax obligations resulting from earned commissions.
4. Program Support & Resources
ZobeLab will provide:
• A unique affiliate referral link for tracking and reporting.
• Access to a personal affiliate dashboard with real-time performance analytics.
• Marketing materials, banners, creatives, and promotional copy for approved use as needed but mainly via marketing affiliate program webpages.
• Email support for affiliate inquiries and campaign collaboration.
• Periodic performance reviews and opportunities for increased commissions or exclusive campaigns.
5. Ownership and Intellectual Property
• All ZobeLab trademarks, branding, logos, and materials remain the sole property of ZobeLab, Inc.
• Affiliates may not alter, reproduce, or claim ownership of any ZobeLab intellectual property.
• Permission is granted for limited, non-exclusive use of ZobeLab assets solely for promotional purposes during active participation in the Program.
• Upon termination, all rights to use ZobeLab materials are revoked.
6. Term and Termination
• This Agreement becomes effective upon the Affiliate’s acceptance into the Program and remains active unless terminated.
• Either party may terminate this Agreement at any time, with or without cause, by providing written notice or by ceasing participation in the Program.
• ZobeLab reserves the right to terminate the Agreement immediately in cases of:
• Fraudulent activity or misuse of affiliate materials.
• Misrepresentation of the ZobeLab brand.
• Violation of program terms, ethical guidelines, or legal requirements.
• Upon termination, all promotional activities must cease immediately, and no additional commissions shall accrue beyond the termination date.
7. Independent Contractor Relationship
Affiliates are independent contractors, not employees, agents, or partners of ZobeLab.
This Agreement does not create any joint venture, franchise, employment, or agency relationship. Affiliates are responsible for their own business operations, taxes, insurance, and expenses.
8. Confidentiality
All proprietary data, business information, and communications shared by ZobeLab are confidential. Affiliates agree not to disclose, share, or misuse such information. This obligation survives the termination of this Agreement.
9. Compliance and Conduct
Affiliates agree to operate with integrity, professionalism, and compliance at all times, including but not limited to:
• Adherence to FTC Advertising and Endorsement Rules.
• Compliance with all applicable laws and regulations in their jurisdiction.
• Avoiding any conduct that could harm ZobeLab’s reputation, partnerships, or user trust.
10. Limitation of Liability
ZobeLab shall not be liable for any indirect, incidental, consequential, or special damages arising out of this Agreement or the Program. Total liability shall not exceed the total commissions paid to the Affiliate in the preceding three (3) months.
11. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Delaware, USA.
In the event of a dispute, both parties agree to seek resolution first through mediation or arbitration before any formal legal proceedings.
12. Acceptance of Terms
By submitting the online affiliate application, checking the box stating “I Agree,” or otherwise joining and participating in the ZobeLab Marketing Affiliate Program, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement and all accompanying policies referenced herein.
